M&A support: Amba supermarkets to X5 Group
We advised on X5 Group's acquisition of the Amba supermarket chain in Khabarovsk Territory: long-term lease rights over sites totalling more than 49,000 sq m, and their relaunch under the Pyaterochka brand in Khabarovsk, Komsomolsk-on-Amur and 14 district centres. The territory became the chain's 69th region of operation.

The task
X5 Group — the largest Russian retailer by revenue, operating the Pyaterochka, Perekrestok and Chizhik chains — was entering Khabarovsk Territory, which became the company's 69th region of operation. The transaction involved the transfer of the Amba supermarket chain to X5 Group. Working with a business of that scale brought non-standard situations that required a prompt legal response.
What we did
- Provided legal support for the merger and acquisition of the Amba grocery chain by X5 Group.
- Ran the transaction under the legal control of Kovalev & Partners LLC, securing its legal soundness.
- Secured the transfer of long-term lease rights over stores totalling more than 49,000 square metres.
- Resolved the non-standard situations that arose during the transaction as they came up.
The result
The Amba sites became part of X5 Group, were refitted and relaunched under the Pyaterochka brand before the end of the first quarter of 2024. Pyaterochka stores opened in Komsomolsk-on-Amur, Khabarovsk and 14 large district centres of the region. The new stores are staffed by around 300 employees.
