Frequently asked questions
How does a legal retainer differ from one-off instructions?
On a retainer the lawyers know your company, its contracts and counterparties, so they answer faster and spot risks earlier. A one-off instruction suits a single task: a deal, a dispute, a registration. The format can change as the workload changes.
Do we need a lawyer if contracts are drafted by an accountant or a manager?
For routine deals with trusted counterparties a good template is often enough. A lawyer is needed for large amounts, new counterparties, unusual terms and templates that have not been updated for a long time: these are the contracts where vague liability and inconvenient jurisdiction clauses surface later.
Can contracts be concluded by email?
Yes, a contract can be concluded by exchanging electronic documents if it is clear who sent them. A qualified electronic signature or an EDI system is more reliable; if you exchange documents by email, it is worth fixing the addresses and the exchange procedure in the contract in advance.
A contract has already been signed on poor terms. What can be done?
We look at what can be fixed by a supplementary agreement, how to perform the contract without weakening your position, and which terms can be challenged if it comes to court. Some risks are covered by paperwork as the contract is performed: acts, notices, correspondence.
