Reviewing the situation
We study the documents and correspondence, reconstruct the chronology and assess the prospects and the amount at stake. You receive a written position: what can be claimed, what supports it and what the other side will argue.
PRACTICE / 01
Transactions, shareholder conflicts and commercial litigation — from the first negotiation to enforcement.
A corporate conflict rarely begins in court. First the budget stops being approved, then a parallel company appears, then a general meeting is held that one of the shareholders only learns about afterwards. The earlier we are brought in, the more options the client has: some matters we close by agreement without litigation. Where litigation is unavoidable, we enter it prepared.
The same rule applies to transactions. Our work includes large retail M&A deals — from due diligence on the asset through to closing and handover of the sites to the new owner.
Commercial disputes in Russia are heard by the arbitrazh courts — the state commercial courts, not private arbitration tribunals; disputes involving individuals go to the courts of general jurisdiction.
HOW THE WORK IS ORGANISED
We study the documents and correspondence, reconstruct the chronology and assess the prospects and the amount at stake. You receive a written position: what can be claimed, what supports it and what the other side will argue.
Negotiations, a formal demand, a claim, interim relief, insolvency of the debtor. We compare the options by time, cost and the likelihood of actually recovering money — not merely by the chance of winning.
Procedural filings, hearings, expert evidence, work with the evidence base. At each stage you get a short report: what has happened, what comes next and whether anything is needed from you.
We take the matter through to enforcement: writ of execution, work with the bailiffs, levy on assets and, where appropriate, subsidiary liability of the persons controlling the debtor.
RESULTS
49,000sq m within the transaction perimeter
We advised on X5 Group's acquisition of the Amba supermarket chain in Khabarovsk Territory: long-term lease rights over sites totalling more than 49,000 sq m, and their relaunch under the Pyaterochka brand in Khabarovsk, Komsomolsk-on-Amur and 14 district centres. The territory became the chain's 69th region of operation.

RUB 3.06billion in principal debt claimed
We act for Otkrytye Tekhnologii LLC in claims against Razrez Kiyzassky LLC and Razrez Vostochny LLC for RUB 3.06 billion and RUB 1.29 billion respectively. The customers stopped advance payments, refused to sign completion certificates and closed access to the sites, while the results of the work are in use. The cases are before the Arbitrazh Court of the Republic of Mari El.

3instances completed
Our client was sued on promissory notes dating from 2010 that had been assigned under an assignment agreement. We pleaded limitation, lost at first instance and secured the complete reversal of the judgment on appeal; the cassation court upheld that decision.

QUESTIONS
Yes, where a shareholder's acts or omissions cause the company substantial harm or make its activity impossible. The courts want documents rather than emotion: minutes of frustrated meetings, correspondence, evidence that clients or assets were diverted. We first assess whether that evidential base exists, and only then file.
First instance usually takes four to eight months; with appeal and cassation, up to a year and a half. The timetable depends on the number of participants, the need for expert evidence and the court's workload, so we give these figures as a guide, not a promise.
Corporate history and the seller's authority, title to key assets, liabilities and pledges, litigation and tax exposure, employment matters, licences and permits. You receive a risk map: what is critical, what can be closed off by the transaction documents and what can be accepted as it is.
No. Even after signing there are working tools: representations and warranties, supplementary agreements, interim relief, challenges to the transaction, damages claims. The sooner you show us the contract, the more of that list is still available.
Both. We take a single dispute or transaction, and we also act as outsourced legal counsel: contract work, corporate procedures and legal review on a standing basis. The format is fixed in the engagement agreement before work begins.
PRACTICE SERVICES
01 / SERVICE
The co-owners have stopped agreeing, and the business is starting to show it: decisions stall, money drifts elsewhere and the records are kept out of reach.
02 / SERVICE
One participant is stopping the company from working, or a participant wants to leave and be paid for the stake.
03 / SERVICE
A meeting was held without you, a resolution was passed in breach of the rules, or the director signed a deal that moves a valuable asset out of the company.
04 / SERVICE
The previous director has left behind loss-making contracts, missing money and additional tax assessments.
05 / SERVICE
A takeover rarely looks like a raid.
06 / SERVICE
While the partners agree, their arrangements rest on a handshake.
07 / SERVICE
The buyer wants to know exactly what it is acquiring; the seller wants to be paid and not answer for decisions made after closing.
