Initial analysis
Online meeting, review of the business model and ownership chain, screening for restrictions, choice of the form of presence.
LATIN AMERICA / 01
For companies from Brazil, Mexico, Argentina, Chile, Colombia and other countries of continental Latin America, the Russian market is open: none of them is on the list of unfriendly states. The difficulties lie elsewhere: documents from overseas, bank checks, currency rules and requirements for importing goods. We take the company through each of these steps and handle the entire Russian side of the work.
A Colombian manufacturer has found buyers in Moscow and wants to sell directly, without an intermediary. It needs to decide whether to set up a Russian LLC or whether a contract with an importer is enough, and to work out who will act as declarant at customs.
A Brazilian company is opening a representative office in Moscow to work with partners. The decision to establish it was taken six months ago, the documents have not yet been apostilled, and the accreditation application must be filed within twelve months of the date of the decision.
A Mexican group has registered an LLC, and the bank is asking it to disclose the ownership chain up to the ultimate beneficial owners. The chain includes a US fund, and it is unclear whether the restrictions on persons from unfriendly states apply to the company.
HOW THE WORK IS BUILT
Online meeting, review of the business model and ownership chain, screening for restrictions, choice of the form of presence.
Bilingual draft decisions and powers of attorney, apostille instructions. The company signs and apostilles them in its own country.
Notarised translation, filing with the FNS, register entry.
Bank file, support during the bank's review, contract registration, payment structure.
Work permit for the head of the company, certification and marking, supply contract.
Corporate decisions, withholding tax, monitoring of changes to decrees and lists.

QUESTIONS
Usually not. The decision to establish the company and the power of attorney are signed before a notary in the founder's country and apostilled, and we then act under the power of attorney. The head of the company needs to come once they start working in Russia, and sometimes the bank also requires a visit to open an account: this depends on the particular bank.
By law, an LLC is registered within five working days at most, and a branch is accredited within fifteen. But most of the time goes into preparing and apostilling the documents in the founder's country. The form should be chosen to suit the task, not the timeline: an LLC has more freedom in payments and hiring, while a branch or representative office remains a non-resident for currency control purposes.
No. The bank decides, and the law allows it to refuse. We are responsible for a complete file, help choose a bank experienced in working with foreign shareholders and support the review; in the event of a refusal, we press for an explanation of the reasons and help address them.
The Bank of Russia sets official exchange rates for the Brazilian real, the Bolivian boliviano and the Cuban peso, but there is no trading of the rouble against the region's currencies on the Moscow Exchange. Payments therefore go through banks with correspondent accounts, through a third currency or in roubles. We set out the main and backup payment arrangements in the contract.
Yes. The British overseas territories and the Bahamas are on the list of unfriendly states, and the restrictions also extend to companies controlled by such persons, wherever they are registered. That is why we check the entire ownership chain before registration, not after the bank refuses.
