Clause review
Where and under which rules the dispute will be heard, and where the result can be enforced.
LATIN AMERICA / 25
A dispute with a Brazilian, Mexican or Chilean partner is largely won or lost when the contract is signed: the dispute resolution clause decides where the case will be heard and whether the award can be enforced where the debtor's assets are. We draft these clauses, conduct disputes at the International Commercial Arbitration Court at the Russian Chamber of Commerce and Industry (ICAC) and in Russian commercial (arbitrazh) courts, and coordinate enforcement in the partner's country with a local lawyer. If the Russian company is under sanctions, we assess whether the dispute can be brought to Russia.
A Russian manufacturer shipped a consignment to a Brazilian buyer, and payment never arrived. The contract only says that disputes are resolved in accordance with the law, without naming a court or arbitral institution.
A Mexican distributor has started arbitration abroad against a Russian supplier, as the contract provides. The supplier is under foreign sanctions and cannot defend itself properly: it is unable to pay the fees or retain counsel abroad.
A Russian company has won an ICAC case against a Chilean partner. The award has not been complied with voluntarily, and the debtor's assets are in Chile.
HOW THE WORK IS BUILT
Where and under which rules the dispute will be heard, and where the result can be enforced.
Letter of claim, negotiation, check of the partner's assets with a local lawyer.
ICAC, another arbitration or a Russian commercial court; under sanctions, an application under Article 248.1 APC.
The local lawyer files for recognition; we prepare the Russian side and check the result.
Payment under the award or settlement, monitoring of transfers.

QUESTIONS
There is no one-size-fits-all answer. The ICAC suits the Russian side, but the award will then have to be enforced in the partner's country, and the procedure there must be checked in advance. Sometimes arbitration in a neutral country is the better choice. We decide based on the partner's country, the amount at stake and where its assets are.
No. Court proceedings, enforcement and asset tracing in Brazil are handled by a local lawyer under local law. We prepare the Russian side, brief the lawyer, monitor deadlines and check the result. We choose the local lawyer together with you or work with the one you have already chosen.
It gives Russian commercial courts exclusive jurisdiction over disputes involving persons subject to restrictive measures. This makes it possible to have the dispute heard in Russia where defending abroad is effectively impossible. But a Russian judgment in such a dispute may not be recognised in the partner's country, so we assess in advance where the result will be enforced.
Jurisdiction is then determined by each country's procedural rules, for Russian commercial courts Chapter 32 of the APC, and the case may be heard either in Russia or in the partner's country. We first assess where a judgment will be easier to enforce, and only then choose the forum.
No. The outcome depends on the court or tribunal, on the debtor's assets and on the recognition procedure in its country. We assess the chances before the dispute starts and tell you frankly what costs and risks each stage involves.
